Kyle Leingang is a Stradling partner, chairs the firm’s Debt Finance Practice and serves as co-chair of the firm’s Recruiting Committee. He represents lenders and borrowers in a wide variety of debt finance transactions, including traditional commercial loan agreements, syndicated facilities, asset-based lines, acquisition financing agreements, public company securities offerings, and seller debt related to M&A transactions. Kyle’s experience also includes work related to bank mergers and investment transactions on behalf of the U.S. Department of the Treasury while at a former firm.

Kyle is also a leading beer, wine and spirits lawyer and has represented breweries, distilleries, retailers, lenders, brand owners and investors in a wide variety of matters within those industries, often as outside general counsel.  

His work as a beer, wine and spirits lawyer spans over a decade and includes:

  • Entity formations, startup financings, and startup acquisitions;
  • LLC Agreements, buy-sell agreements, and shareholder agreements;
  • Equipment financings, venture capital raises, commercial lending, and other securities offerings;
  • Corporate governance and board of director practices;
  • Reorganizations and distressed company strategy and transactions;
  • TTB and ABC regulatory issues, including ABC licenses and brewers permit applications and violation disputes;
  • Compliance and advocacy related work related to COVID-19 business operations restrictions, including industry legal action against the governor and State of California;
  • Distribution agreements, including associated disputes and separations;
  • Mergers & acquisitions, including both buy-side and sell-side transactions;
  • Contract brewing agreements, alternating proprietorship agreements;
  • Partner/shareholder dispute and buyout transactions; and
  • Representation of county, state and federal trade associations.

Kyle has been recognized as a “Rising Star” by Super Lawyers since 2016 (2016-2022). 

Kyle serves on the Board of Directors of the Chamber of Commerce for the City of Orange and has frequently served as a judge for the Orange County Business Journal's “Innovator of the Year” awards.
